Terms of Service

IMPORTANT: PLEASE REVIEW THESE TERMS OF SERVICE CAREFULLY BEFORE USING TALLYBID. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Acceptance of Terms

By creating an account or using TallyBid ("the Service"), you agree to these Terms of Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

TallyBid is a cloud-based construction estimating software platform that allows users to create, manage, and export construction cost estimates. The Service includes project management tools, division-based line item catalogs, markup calculations, and report generation.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

TallyBid offers paid subscription plans with a 14-day free trial period. No credit card is required for the trial. After the trial period, continued access requires an active paid subscription.

• Subscription fees are billed monthly or annually, depending on the plan selected.
• All fees are quoted in U.S. dollars and are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days written notice to active subscribers.
• Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Reproduce, duplicate, copy, sell, or resell any portion of the Service without express written permission.
• Use automated tools (bots, scrapers) to access or interact with the Service.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by TallyBid and is protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you any ownership rights to the Service or its content.

You retain ownership of all estimate data, project information, and content you create using the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Data Storage and Security

We use commercially reasonable efforts to protect your data. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining backups of your critical estimate data.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLYBID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TallyBid is a tool to assist with construction estimating. All estimates, calculations, and reports generated by the Service are for informational purposes and should be independently verified. TallyBid is not responsible for the accuracy of estimates or any decisions made based on them.

11. Indemnification

You agree to indemnify and hold harmless TallyBid, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service or violation of these Terms.

12. Cancellation and Termination

You may cancel your subscription at any time through your account settings. Upon cancellation, your account will be downgraded at the end of the current billing period. You will retain access to your data for 30 days after cancellation.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.
